These Wholesale & Trade Terms (“Trade Terms”) apply to all approved wholesale and trade customers.

By applying for a wholesale account, accessing wholesale pricing, or placing a wholesale order, you confirm that you have read, understood, and agree to be bound by these Trade Terms, in addition to any separate signed Wholesale Supply & Authorized Reseller Agreement (which prevails in the event of inconsistency).

It is controlled distribution.
It is consistent presentation.

We partner with retailers who protect brand value long-term.

 


 

Trade Account Eligibility

Trade accounts are available to approved businesses only.

Submission of an application does not guarantee approval.
We reserve the right to approve, reject, suspend, or revoke accounts at our discretion.

 


 

Authorized Sales Channels

Products may only be sold through approved channels:

  • Approved physical retail locations

  • Approved reseller-owned websites

  • Marketplaces — only if explicitly approved in writing

Marketplace selling is prohibited unless written approval is granted for:

  • The specific brand

  • The specific marketplace

  • The specific seller account

Approval is not implied and is not transferable.

Unauthorized marketplace listings may result in:

  • Immediate suspension of supply

  • Order cancellation

  • Revocation of authorized reseller status

  • Termination of the wholesale relationship

 


 

Pricing & Confidentiality

Wholesale pricing is confidential and must not be shared or published.

We maintain a unilateral Minimum Advertised Price (MAP) Policy.

Resellers remain free to set final selling prices.
However, advertising below MAP is not permitted.

Hidden or automatic discounts that display below MAP are not permitted.

 


 

Orders & Acceptance

All orders are subject to acceptance and availability.

We reserve the right to refuse, cancel, or limit orders due to:

  • Policy breaches

  • Credit concerns

  • Supply constraints

  • Suspected diversion

 


 

Payment Terms

Payment terms are agreed separately.

Unless approved otherwise, orders are prepaid prior to dispatch.

Overdue payments may result in account suspension, cancellation of open orders, or revocation of trade status.

 


 

Shipping & Risk Transfer

Shipping fees and timelines vary by order and location.

Unless otherwise agreed in writing, risk transfers to the Trade Customer upon dispatch from our warehouse.

 


 

Product Integrity

Products must:

  • Be sold as new, unopened, and unaltered

  • Be sourced directly from us or authorized supply

  • Be stored and handled appropriately

Repackaging, relabeling, splitting multipacks, or altering products is not permitted.

 


 

Brand Use & Marketing

Brand assets may only be used as approved.

The following are prohibited:

  • Unapproved veterinary or medical claims

  • Misleading or exaggerated marketing

  • Fake or incentivized reviews

  • “Cheap,” liquidation, or clearance positioning

  • Unauthorized trademark use in domains or social handles

Premium presentation must be maintained at all times.

 


 

Regulated Products

Certain ASK A VET products may require licensing or regulatory compliance.

Trade customers are responsible for complying with all applicable laws, permits, storage requirements, and dispensing regulations.

Failure to comply may result in immediate suspension of supply.

 


 

Returns, Damages & Defects

Returns require prior approval.

Transit damage must be reported promptly.

Remedies may include replacement, credit, or refund at our discretion.

 


 

Compliance With Laws

Trade customers must comply with all applicable consumer, advertising, product safety, pharmaceutical, and trade laws in their jurisdiction.

 


 

Suspension & Termination

We may suspend or terminate wholesale accounts for breaches of these Trade Terms, MAP policy violations, unauthorized channel sales, regulatory breaches, or conduct that harms brand reputation.

Sell-through of remaining stock, if permitted, will be at our discretion.

 


 

Updates to These Terms

We may update these Trade Terms from time to time.

Continued ordering or account use after updates constitutes acceptance of the revised terms.
